1. Introduction

Welcome to Q2X.app, a service provided by Xendoo LLC (“Xendoo,” “we,” “us,” or “our”). Q2X.app is a software service that facilitates the conversion of data from QuickBooks Online to Xero. By using Q2X.app, you (“you” or “user”) agree to comply with and be bound by these Terms and Conditions (“Terms”). Please read these Terms carefully before using our service.  

2. Service Description

Q2X.app is designed to convert the following data from your QuickBooks Online account to your Xero account:

• Customers with contact information
• Vendors with contact information
• Employees with contact information
• Chart of accounts
• Untracked inventory items & services
• Invoices
• Bills
• Invoice payments
• Bill payments
• Deposits
• Purchases/Expenses
• Transfers
• Journal entries (excluding those to A/R or A/P)
• Credit card payments
• Refund receipts
• Sales receipts

3. Limitations of Service

Q2X.app does not convert the following data:

• Projects
• Purchase orders
• Attachments/files
• Classes
• Budgets
• Integrations (e.g., Gusto, A2X)
• Tracked inventory
• Recurring schedules
• Bank rules
• Tax classifications, codes, rates, agencies, summaries
• Terms
• Time Activities
• Journal entries to A/R or A/P.
• List Item #2 (The user must replace this with the correct missing item.)

You acknowledge and agree that these limitations are inherent to the Q2X.app service and that we are not responsible for any issues arising from these limitations.

4. User Responsibilities

• Accuracy of Data: You are solely responsible for the accuracy and completeness of the data in your QuickBooks Online account. We are not responsible for any errors or omissions in the data transferred by Q2X.app.
• Access Credentials: You are responsible for providing accurate and secure access credentials for your QuickBooks Online and Xero accounts.
• Data Backup: You are responsible for backing up your QuickBooks Online data before using Q2X.app. We recommend backing up your Xero data as well.
• Compliance: You agree to comply with all applicable laws and regulations when using Q2X.app.
• Account Ownership: You must have the proper administrative rights to the quickbooks online and Xero accounts you are connecting to Q2X.app.

5. Payment and Fees

• Fees for Q2X.app services will be as specified on our website or as otherwise agreed upon.
• Payment is required before the data conversion process begins.
• All fees are non-refundable, except as expressly stated in our refund policy (if applicable).

6. Intellectual Property

• Q2X.app and all related intellectual property are owned by Xendoo LLC.
• You are granted a limited, non-exclusive, non-transferable license to use Q2X.app for its intended purpose.
• You may not reproduce, modify, or distribute Q2X.app or any of its components without our express written consent.

7. Disclaimer of Warranties

• Q2X.app is provided “as is” and “as available” without any warranties, express or implied.
• We do not warrant that Q2X.app will be error-free or uninterrupted.
• We disclaim all warranties of merchantability, fitness for a particular purpose, and non-infringement.  

8. Limitation of Liability

• In no event shall Xendoo LLC be liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of Q2X.app.  
• Our liability shall be limited to the fees paid by you for the service.

9. Indemnification

• You agree to indemnify and hold harmless Xendoo LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, and expenses arising from your use of Q2X.app or your violation of these Terms.  

10. Termination

• We may terminate your access to Q2X.app at any time for any reason, including but not limited to your violation of these Terms.
• Upon termination, you must cease all use of Q2X.app.

11. Governing Law

• These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles.  

12. Changes to Terms

• We may modify these Terms at any time by posting the revised Terms on our website.
• Your continued use of Q2X.app after any changes constitutes your acceptance of the new Terms.
